The Circle - Terms & Conditions

These terms apply to the HYP Circle ambassador and rewards programme ("the Circle"), operated by HYPEME LTD (company number 17358307), registered in England and Wales. Registered office: 6 Trinity Place, Midland Drive, Sutton Coldfield, West Midlands, B72 1TX.

By applying to or participating in the Circle, you agree to these terms. These terms should be read alongside our general terms of service and privacy policy.

Eligibility

The Circle is open to individuals and businesses aged 18 and over and based in the United Kingdom. By applying, you confirm that you meet these requirements.

Membership

Membership is by application only. Applying does not guarantee acceptance. We reserve the right to accept or decline any application at our discretion.

On approval, you will receive a personal HYP discount code, access to a member portal, and materials to help you promote HYP.

Your code

Your personal code gives your audience 10% off their order at hyp-energy.co.uk. Each code is unique to you and must not be shared on public coupon or discount sites, used in paid advertising on HYP brand terms, or transferred to another person. Misuse of your code may result in the code being deactivated and your membership being terminated.

How you earn

There are two earning structures within the Circle:

Solo: you earn 10% of the order subtotal on every order placed using your personal code.

Network: if you are approved as a network builder (typically businesses, gym or studio owners, and influencers with larger audiences), you can recruit other members into your network. When someone you recruit uses their own code, they earn 5% of the order subtotal and you earn a 5% override on that same order. The total payout per order is always 10% — nothing is double-counted.

Members who have not been recruited by a network builder, or who are not part of a network, keep the full 10%.

Earnings are calculated on the order subtotal (before shipping and VAT) at the time the order is placed. Later changes to commission rates do not retrospectively alter past orders.

Self-purchase

You may use your own code for personal purchases to receive the 10% discount. No earnings will be generated on self-purchases.

What we ask of you

As a Circle member, we ask that you share HYP in your social media stories, tag HYP in your posts, post about HYP on your channels, and — if you run a gym, studio or business — make HYP available to your members. We will provide you with a code, press pack and sharing guide to support this.

Payouts

Payouts are made quarterly by bank transfer. The minimum payout threshold is £50. If your unpaid balance is below £50 at the end of a quarter, it rolls over to the next.

Each payout covers all unpaid earnings from attributed orders during the payout period. You can view your current unpaid balance and payout history in your member portal.

Refunds, cancellations and chargebacks

If an order placed using your code is refunded, cancelled or subject to a chargeback, the associated earnings will be deducted from your balance. If a payout has already been made for that order, the amount may be recouped from future earnings.

Tax

Earnings from the Circle may be subject to income tax and/or national insurance. You are responsible for reporting your earnings to HMRC and for any tax obligations that arise. HYPEME LTD does not deduct tax from payouts.

Inactivity

If your code has not been used on any order for 12 consecutive months, we may deactivate your membership. We will notify you by email before doing so and give you the opportunity to remain active.

Termination

Either you or HYPEME LTD may end your Circle membership at any time. On termination, your code will be deactivated. Any unpaid balance above the £50 minimum threshold at the date of termination will be paid out in the next scheduled payout. Earnings below the minimum threshold at the date of termination are forfeited.

If you are a network builder, your recruited members will remain in the Circle but will no longer be attributed to you. Their earning structure will revert to the solo rate (10%).

We reserve the right to terminate membership immediately and without payment of unpaid earnings in cases of code misuse, fraud, conduct that damages the HYP brand, or breach of these terms.

Network attribution

Once a member is recruited into your network, they remain attributed to you indefinitely unless either party's membership is terminated or we make changes to the programme structure. We reserve the right to reassign attribution if we believe the relationship is no longer active.

Changes

We may update these terms or the Circle programme structure at any time. We will notify active members by email of material changes. Continued participation after a change constitutes acceptance.
